8. AMENDMENT OF THE CONSTITUTION.      

1. NAME.
a) The Club shall be known as the Uganda Secondary School Prefects` Club (USSPC) herein referred to as the Club.
b) The club shall have its headquarters in the school where the president is studying and may have branches in any other school in UGANDA.
c) The club may be affiliated to the Uganda National Students Association (UNSA), and any other pro-student organization.

2. AIMS AND OBJECTIVES
· To encourage and promote the essence of students leadership in Senior Secondary Schools in Uganda.
· To organize and arrange meetings, tours, discussions, get-togethers, conferences and seminars for senior secondary prefects to enable them to exchange ideas, views, experiences, information etc. in the interest of the students leadership.
· To strengthen then the relationships between individual schools, remove any clashes and work towards a United Uganda student body.
· Sensitize prefects on how best they can carry out their duties for the benefit of their respective schools. The entire student population of Uganda and the country at large.
· Share ideas on how best school prefects can balance the 2As- Student Administration and Academics.
· Promote interaction between students leadership of youth leadership of National level.

3. MEMBERSHIP.

a) Membership shall be open to practicing prefects in senior secondary schools in the country.
b) Membership fee shall be determined from time to time by the Governing Council of the club bearing in mind the economic situation in the country.
c) Annual subscription shall be determined as above (b).
d) Membership shall be issued with membership certificates duly signed by the President and Secretary General bearing the Club's stamp and the Patron's signature.
e) The governing council may appoint some non-prefects as HONORARY members considering their positive work, character and organizing their schools.
f) Head Prefects of any member schools should be honorary member of the executive. An Executive member may withdraw from the club one week's notice after paying his dues (if any) to the Club.
g) A member may cease to be on the executive committee provided he relinquished his prefectorial office.
A school can withdraw its membership but on General Assembly.
A school can expect from the club by three quarter of the General Assembly.
h) The club may elect a Patron and Deputy at a Club's Executive hand-over who can be in office for two years but can be re-elected for a final term of two years in office from the date of his constitution.
In case of mental illness or death of the patron the Deputy takes over his role.

4. CODE OF PROFESSIONAL ETHICS.
There shall be a CODE of professional ethics, which shall be subscribed to by all prefects in secondary schools who are members of the Club. These include: -i. Members shall respect themselves and one another in terms of character, language, dress, behaviour and any other specifics.
ii. Members shall not sabotage each other be it individually or on school basis.
iii. Members shall be the guide light and model of school discipline be it academics, moral discipline or otherwise.
iv. Members shall not indulge in anti-social behaviour that will tarnish the name of their school and the club.
v. Other professional ethics are yet to be included.
vi. Members should be exemplary.

5. ORGANS OF THE CLUB.
i. The Club may establish such offices as may be necessary to promote its aims and objectives.
ii. There shall be established: -
a) Governing Council
b) Programmes Committee
c) Finance Committee
d) Disciplinary CommitteeHand-overs shall be held in October after the year in office.

a) GOVERNING COMMITTEE.
Shall be the executive and policy making body of the club. Members of the Council shall be the clubs President, Vice President, Secretary General, Assistant Secretary General, Honourable Treasurer, Assistant Treasurer, Director of Programmes, Chairman of the Disciplinary Committee, and 2 members elected at the Annual General Meeting. The President or his vice shall be the chairman of the governing council, the chairman of the governing council, the general assembly and the extra-ordinary general assembly.

b) PROGRAMMES COMMITTEE.
Shall be responsible for planning the activities of the club. The Director of the programmes shall act as its chairman and its membership shall consist of a representative from each school, which is a member of the club elected at the General Assembly. The Secretary General, the Honourable Treasurer and Assistant Treasurer shall be ex-officio members. The programmes shall be subjected to the approval of the council.

c) FINANCE COMMITTEE.
Shall be responsible for the finances of the Club. It shall be its responsibilities to look for ways and means of boosting the financial position of the club subject to the approval of the going council. It shall also prepare expenditure for the approval of the Governing Council.The Honourable Treasurer shall be its Chairman and its members shall consist of four members elected at the Annual General Meeting. The Secretary General or his Assistant, the Assistant Treasurer and the Chairman of Disciplinary Committee shall be ex-officio members.

d) DISCIPLINARY COMMITTEE.
Shall ensure the observance of and adherence to the professional code. It shall consist of four members. The Committee Chairman shall be elected from the General Assembly, together with 3 members
The Club's Secretary General shall be the Committee Secretary. The President and Vice President of the Club shall be ex-officio members.


e) OFFICE BEARERS.
The Club shall have the following office bearer to be elected at the Annual General Meeting for a tenure of one administrative year.

i. President:
Ø Shall be elected at the General Assembly for one tenure of one administrative year.
Ø Shall provide over all the meetings of the Association and the Governing Council.
Ø Be co-signatory to all financial transactions of the Association.
Ø Shall make a report of activities to be presented at the General Assembly.
Ø Shall be assisted by the Vice President elected at the General Assembly.
Ø The Vice President shall hold office for one administrative
year.

ii. Secretary General:
Ø Shall be Secretary to record and keep all proceedings of meetings.
Ø In consultations with the President, carry out all correspondence, including writing and responding to letters written on behalf of the Club.
Ø Keep up date registration of members and documents of the Club.
Ø Convene meetings as and when necessary.
Ø Compile the Annual report and provide information on the Club Association from time to time.
Ø Shall be co-signal to all financial transactions of the Association.
Ø Shall be elected for one administrative year.
Ø Shall be assisted by the Assistant Secretary General.
Ø The Assistant Secretary General shall be elected at the General Assembly for a term of one administrative year.

iii. Treasurer:
Ø Shall be elected by the General Assembly for a term of one administrative year.
Ø Responsible for collecting and recording all moneys on behalf of the Club which shall include but not limited membership and annual subscription fees and donations and shall disburse finances and or pay all bills of the Club under the direction of the Governing Council.
Ø Keep account of the Club and present a statement of account at the General Assembly.
Ø Be co-signatory to all financial transactions of the Club.
Ø To be assisted by the Assistant Treasurer.
Ø The Assistant Treasurer shall be elected at the general Assembly for a term of one administrative year.

iv. Director of Programmes:
It shall be his duty to help initiate programmes and to ensure and to ensure their implementations.

v. Chairman of Disciplinary Committee:
Shall rebuke, guide and correct any member who goes astray contrary to the professional code.vi. Past presidents are automatic members of the Governing Council.

6. ELECTION OF OFFICE BEARERS.
i. Just before the elections, the general meeting shall appoint a temporary office bearer to conduct and supervise the elections assisted by the Patron.
ii. Election to all offices of the Club shall be by raising of hands. In the event of a tie, the Chairman will have a casting vote otherwise he shall not vote.
iii. Offices shall be held for one administrative year.
iv. Members seeking election or re-election to any of the Clubs office shall be nominated and seconded.
v. President's office: Patron and Executive shall be consulted on matters of withdraws of the Club's funds or any emergency discussion.

7. ANNUAL GENERAL MEETING.
The Annual General Meeting shall be held at the beginning of each administrative year preferably in the first term of office for the in-coming prefect (S.5 2nd term).
ii. The Secretary General acting under the directions of the Governing Council shall convene the annual General Meeting. The notice shall indicate when and where the Annual General Meeting shall be held with the proposal agenda. The notice shall be sent out not less than 3 weeks in advance.
Any notion that a member wishes to bring forward at a meeting shall reach the Secretary General before the Annual General Meeting.
The Annual General Meeting shall decide:-
i. Attendance to be open to all paid up members.
ii. The quorum of the Annual General Meeting shall be 50% of all paid up members.
iii. The Annual General Meeting shall receive annual reports from the Chairman of the Club's activities during the year and a statement of account from the Treasurer.
iv. The Treasurer shall circulate the Club financial statement to members at least a week before the Annual General Meeting.

8. AMENDMENT OF THE CONSTITUTION.
i. Proposals to amend the constitution shall first be considered by the Governing Council such proposals; if approved by 3\4`s of the Governing Council and later presented to the Executive.
ii. A member wishing to propose an amendment of the constitution shall forward his proposal to the Governing Council at least two months before the Annual General Meeting.

9. RULES AND REGULATIONS.
Rules and Regulations shall be formulated by the Governing Council for the smooth running and proper conduct of the affairs of the Club and such rules and regulations may be amended by the said council as and when necessary. Such rules and amendments therefore shall be circulated to members.

10. DISSOLVING THE CLUB.
A decision to dissolve the club shall be taken at the Annual General Meeting or at the Extra Ordinary General Meeting. A motion to dissolve the Club shall be supported by not less than 4 to 5 paid up member schools.

11. FINANCIAL ACCOUNT.
The Club shall have a current account in any account proposed by the Executive and shall have a principal signatory (Patron) and Treasurer and President: unless or otherwise.

12. EXTRA ORDINARY MEETINGS.
a) Members may request for an extra ordinary meeting. Such requests shall be supported by not less than 50% of the paid up members.
b) The Governing Council may request to hold an extra ordinary general meeting of the Club for a special purpose. Not less than a week's notice shall be given to members if such a meeting and notice shall specify the business to be transacted.

13. COMMITTEES OF THE CLUB.
a) The Governing Council shall meet at least once a school term (except those such as disciplinary).
b) Finance Committee may react as and when necessary or on request of the Governing Council.
c) The Programmes Committee shall meet at least once every school term.
d) The Disciplinary Committee only upon the request of the Governing Council.

14. PROPERTIES OF THE CLUB.
i. Money - membership fees and annual subscription.
ii. Proceeds from the Club's activities.
iii. Any monetary contribution in the name of the Club.
iv. All the Club's funds shall be deposited at the bank with the Club's current account.
v. All the assets of the Club shall be in the custody of the Governing Council, which shall give an account of the same at the Annual General Meeting.
vi. No part or whole of the assets of the Club shall be sold, assigned or transferred, surrendered or otherwise dealt with by the Governing Meeting without the consent of the Annual General Meeting or Extra Ordinary General Meeting.

15. IDENTIFICATION OF THE GOVERNING COUNCIL AND COMMITTEE.
The Club shall be responsible for all reasonable actions of the Governing Council and the committees and consequences thereof.

The members below do hereby in their representative capacities acknowledge the validity of the Constitution of The Uganda Secondary School Prefects` Club (USSPC).
